These Terms of Service (“Terms”) constitute a legally binding agreement between the user (“User” or “you”) and Planit Food Retail Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office at [Insert Address] (hereinafter referred to as “PLANIT”, “we”, “us”, or “our”), which owns and operates the health and wellness platform WH&Y (Wellness, Health, and You).
By accessing, browsing, registering on, or otherwise using the website, mobile application, or any other product or service provided by PLANIT under the WH&Y brand (collectively referred to as the “Platform”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE PLATFORM OR ANY SERVICE OFFERED THEREIN.
1. DEFINITIONS

“Services” refers to all offerings made available via the WH&Y Platform, including but not limited to nutritional assessments, lifestyle protocols, wellness advice, content, plans, educational materials, and support provided by PLANIT or its representatives.

“Package(s)” refers to specific condition-based nutrition and lifestyle programs designed and offered by PLANIT for Users.

“Medical Professional” refers to a licensed healthcare practitioner as defined by the applicable law, who is authorized to provide medical advice, diagnosis, and treatment.
2. NATURE OF SERVICES
2.1 PLANIT, through the WH&Y Platform, provides lifestyle and nutrition-based health guidance, tools, and educational resources developed under protocols tailored to specific health conditions.
2.2 THE SERVICES OFFERED BY WH&Y ARE NOT INTENDED TO BE, NOR SHALL THEY BE CONSTRUED AS, MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. The Services are supportive in nature and should be considered complementary to—but not a replacement for—professional medical care.
2.3 You explicitly acknowledge and agree that all decisions relating to your medical care, diagnosis, and treatment shall remain the sole responsibility of your licensed medical provider, and that no aspect of the Services shall be interpreted as an attempt to practice medicine.
2.4 WH&Y does not guarantee or warrant the outcome of any lifestyle or dietary change, nor does it make any representation regarding the effectiveness or safety of its recommendations in your particular circumstances.
3. MEDICAL DISCLAIMER
3.1 The content and Services provided via the Platform are for informational and educational purposes only and are not a substitute for consultation, diagnosis, or treatment by a qualified medical professional.
3.2 You must consult your physician or healthcare provider before making any changes to your diet, exercise, or medication routine based on information received from the Platform. This includes, but is not limited to, individuals who are pregnant or nursing, have existing medical conditions, or are taking prescription medications.
3.3 PLANIT disclaims any liability for adverse outcomes resulting from your use or reliance on any information provided through the Platform without prior consultation with a licensed medical professional.
4. ELIGIBILITY
4.1 By using the Platform, you represent and warrant that you are:

At least 18 years of age or accessing the Platform under the supervision of a parent or legal guardian;

Using the Services solely for personal and non-commercial purposes.
5. USER OBLIGATIONS
5.1 You agree to:

Provide accurate, complete, and current information when prompted by the Platform;

Refrain from impersonating any person or entity or misrepresenting your affiliation with any person or entity;

Use the Platform only for lawful purposes in accordance with applicable laws and these Terms.
5.2 You shall not:

Engage in any activity that disrupts or interferes with the functioning of the Platform;

Upload, distribute, or otherwise publish any content that is defamatory, obscene, infringing, or unlawful;

Copy, modify, distribute, reverse-engineer, or exploit any part of the Platform or its content without express written consent from PLANIT.
6. INTELLECTUAL PROPERTY
6.1 All intellectual property rights, including but not limited to trademarks, copyrights, patents, service marks, designs, logos, and trade secrets associated with the Platform, its content, protocols, and materials are the sole and exclusive property of PLANIT or its licensors.
6.2 No license or right is granted to the User except as expressly provided under these Terms. Any unauthorized use, reproduction, or distribution shall constitute an infringement of PLANIT’s proprietary rights and may result in legal action.
7. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless PLANIT, its directors, officers, employees, agents, affiliates, licensors, and representatives from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

Your use of the Platform or Services;

Your violation of these Terms or any applicable law;

Any claim that your actions caused harm to a third party;

Any misuse, unauthorized use, or reliance on the Services.
8. LIMITATION OF LIABILITY
8.1 To the maximum extent permitted by law, PLANIT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, whether incurred directly or indirectly.
8.2 PLANIT shall not be responsible for any personal injury, adverse health reaction, or death resulting from the use of any information or Services provided through the Platform without proper medical supervision.
8.3 In any case, PLANIT’s total liability under these Terms shall be limited to the amount paid by the User for the relevant Services, if any.
9. TERMINATION
PLANIT reserves the right to suspend or terminate your access to the Platform at its sole discretion, without prior notice, for any violation of these Terms or applicable law. Upon termination, all rights and licenses granted to you shall cease immediately.
10. MODIFICATIONS TO THE PLATFORM
PLANIT reserves the right to modify, suspend, or discontinue any part of the Platform or Services at any time without notice. PLANIT shall not be liable to you or any third party for any such modification or discontinuation.
11. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising in relation to these Terms shall be subject to the exclusive jurisdiction of the courts located at Gurgaon, Haryana, India.
12. SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
13. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and Return and Refund Policy, constitute the entire agreement between you and PLANIT with respect to the use of the Platform and supersede any prior or contemporaneous communications and proposals, whether oral or written.
